Terms of Service.

Effective Date: 17 March 2026

These Terms of Service ("Terms") govern your access to and participation in any program, cohort, assessment, or service offered by Dealcroft ("Dealcroft," "we," "us," or "our"), including but not limited to the Private Markets Deal Execution Program. By attempting the assessment, submitting payment, or enrolling in any cohort, you ("Candidate," "Student," or "you") agree to be bound by these Terms in full. If you do not agree with these Terms, do not attempt the assessment, make payment, or enroll in the program.

All fees paid to Dealcroft, for any cohort, are strictly non-refundable under any and all circumstances, once enrollment is confirmed via payment. This applies regardless of the reason for non-completion, dissatisfaction, change of personal circumstance, withdrawal, or any other cause, whether or not within the Student's control.

By making payment, you expressly waive any right to request, and Dealcroft expressly disclaims any obligation to provide, a full or partial refund, credit, or transfer of fees, except where mandated by applicable law.

01

Scope of These Terms

These Terms apply to every cohort of the Dealcroft program, past, present, and future, regardless of cohort number, batch name, fee amount, or scholarship percentage applied. Where these Terms reference "the program" or "a cohort," this includes Cohort 04 and any subsequent cohort operated by Dealcroft under the same or a different name.

Dealcroft reserves the right to amend these Terms at any time. The version in effect at the time of your enrollment governs your participation, unless a subsequent version is required by law to apply retroactively.

02

Enrollment and Payment

Enrollment in any Dealcroft cohort is completed only upon receipt of full payment (net of any applicable scholarship) via the payment link issued after admission. Seats offered are held for the period communicated at the time of offer (typically 24 hours) and may be reassigned to another candidate if payment is not completed within that window.

Scholarship percentages, where offered, are determined solely at Dealcroft's discretion based on assessment performance and candidate profile, and are final once communicated. No renegotiation of the scholarship amount will be entertained after the offer has been issued.

03

Non-Refundable Policy

Once a Student's enrollment is confirmed through payment, the entire fee amount paid is non-refundable, in full, without exception. This includes, but is not limited to, the following circumstances:

No partial refunds will be issued for partial completion of the program. No credit, transfer to a future cohort, or in-kind substitution will be offered in lieu of a refund unless explicitly agreed to in writing by Dealcroft at its sole discretion.

04

Obligation to Complete the Program

By enrolling, the Student agrees to complete the full duration of the program to which they are admitted, including all weekly assignments, deliverables, and any live deal work assigned during the program period. Enrollment is a commitment to see the program through, not a trial or optional engagement.

Dealcroft reserves the right to remove a Student from the program without refund, for any of the following:

Removal under this clause does not entitle the Student to any refund of fees paid, in whole or in part.

05

No Guarantee of Outcomes

Dealcroft does not guarantee employment, internship conversion, placement, promotion, letter of recommendation, or any specific career outcome as a result of participation in the program. References to alumni outcomes, placements, or network access on the Dealcroft website or in communications are illustrative of past results and do not constitute a promise or warranty of similar results for any individual Student.

Live deal exposure, where offered, is facilitated through partner firm networks at Dealcroft's discretion and may vary in scope, availability, and timing from cohort to cohort.

06

Confidentiality

Any deal materials, company information, financial models, memos, or other content shared with the Student in the course of the program are confidential and belong to Dealcroft and/or its partner firms. The Student agrees not to share, publish, distribute, or otherwise disclose such materials outside the program, during or after their participation, without prior written consent from Dealcroft.

07

Intellectual Property

All course material, assignment templates, frameworks, and proprietary content provided during the program remain the intellectual property of Dealcroft. Students may not reproduce, resell, or redistribute this material for commercial or non-commercial purposes without written permission.

08

Conduct and Code of Behavior

Students are expected to engage professionally with mentors, staff, and fellow students at all times. Dealcroft reserves the right to suspend or terminate a Student's participation, without refund, in cases of harassment, discrimination, plagiarism, or any conduct that Dealcroft, at its sole discretion, deems incompatible with the professional standards of the program.

09

Limitation of Liability

To the fullest extent permitted by applicable law, Dealcroft, its founders, mentors, and affiliated partner firms shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the Student's participation in the program, including but not limited to loss of income, loss of opportunity, or reputational harm.

Dealcroft's total liability arising from any claim related to the program shall not exceed the total fee paid by the Student for the cohort in question.

10

Program Changes and Cancellation

Dealcroft reserves the right to modify the schedule, structure, mentors, or assignment content of any cohort at its discretion, provided the substantive nature of the program (a structured deal execution internship) is preserved. In the rare event that Dealcroft cancels a cohort in its entirety before it begins, and only in that circumstance, Dealcroft will assess refund requests on a case-by-case basis at its sole discretion.

11

Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
